Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Prompteam website, desktop application for macOS and Windows, and web application (together, the "Service"), operated by Opentunities Ltd. ("Prompteam", "we", "us"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Prompteam is an AI management platform that lets individuals and teams create, organize, version, and share prompts, skills, brand voices, and assistants across multiple AI providers, with Bring-Your-Own-Keys (BYOK) support. The Service is currently offered on an early-access basis and may change, expand, or be discontinued.

2. Eligibility

You must be at least 16 years old, or the age of digital consent in your country, to use the Service. By using the Service you represent that you meet this requirement and that you have the authority to accept these Terms on behalf of yourself or the organization you represent.

3. Accounts

Some features require an account, created within the Prompteam application. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use. Account data is processed as described in our Privacy Policy.

4. Acceptable use

You agree not to:

• use the Service in violation of any applicable law or third-party rights;
• upload or generate content that is unlawful, infringing, harmful, or that you have no right to use;
• attempt to gain unauthorized access to, disrupt, or reverse-engineer the Service;
• scrape, resell, or misuse the Service or any data made available through it;
• use the Service to develop a competing product by copying its features or content.

5. Your content and AI outputs

You retain ownership of the prompts, skills, brand voices, and other content you create or upload ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you and the people you share it with. AI-generated outputs are produced by third-party AI providers based on your inputs; we do not guarantee their accuracy, suitability, or originality, and you are responsible for how you use them. AI outputs can be inaccurate. Always verify before any use.

6. Third-party AI providers and BYOK

The Service connects to third-party AI providers (such as ChatGPT, Claude, Gemini, Perplexity, and Grok). When you use BYOK, you connect your own provider accounts and API keys, and your use of those providers is governed by their own terms and pricing. You are responsible for your usage and costs with those providers. We are not responsible for the availability, output, or billing of any third-party provider.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by Opentunities Ltd. and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

8. Early access and availability

The Service is provided on an "as is" and "as available" basis. Early-access features may contain errors, change without notice, or be removed. We may modify, suspend, or discontinue any part of the Service at any time.

9. Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Opentunities Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law, including your statutory rights as a consumer.

11. Indemnification

You agree to indemnify and hold harmless Opentunities Ltd. from any claims, damages, or expenses arising from your misuse of the Service or your breach of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. Sections that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the latest version. Material changes will be communicated where reasonably practicable. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts located in Israel will have exclusive jurisdiction, except where mandatory consumer- protection law grants you the right to bring proceedings in your country of residence.
